Terms of Service
These terms govern restaurant-owner use of Maitre's controlled-beta AI concierge, website widget, restaurant setup, ordering, and subscription features. They are a production-alignment draft and are not attorney-approved.
Controlled-beta service
Maitre is currently offered as a controlled beta, not as an unrestricted public-scale service. Features may contain defects, produce unexpected results, change, or become unavailable. Operational monitoring, retention scheduling, backup/restore rehearsal, email-delivery monitoring, and independent human security testing are still being completed.
Security controls reduce risk but do not make the service hacker-proof or guarantee that every vulnerability, outage, data-loss event, provider failure, or inaccurate AI response can be prevented. Do not use the service as the sole record of important restaurant information.
Account security
You are responsible for protecting account credentials, email access, trusted devices, and multi-factor methods and for activity performed through your account. Do not improperly share credentials. Notify Maitre promptly through the support channel if you suspect unauthorized access.
Maitre may require email verification, authorization of an unrecognized device, or multi-factor verification where enabled. Access may be restricted while account, device, payment, or security status cannot be verified, or where activity appears fraudulent or abusive.
Restaurant responsibilities
You are responsible for the accuracy, completeness, legality, and timely review of menu items, prices, taxes, modifiers, availability, ingredients, allergens, dietary claims, hours, locations, pickup details, policies, reservation links, ordering settings, contact details, and other information supplied to guests.
You remain responsible for food preparation and safety, alcohol rules, accessibility, fulfillment, restaurant-order refunds and cancellations, customer support, consumer disclosures, taxes, and compliance with food, privacy, advertising, payment, and local laws. Imported Square, menu, website, or Google information must be reviewed before relying on it.
You must have the rights needed to upload, host, process, transform, index, and display menus, logos, images, website material, FAQs, and other restaurant content. Do not upload malware, payment-card data, regulated health information, confidential third-party information, or unlawful/infringing content.
AI limitations
AI answers may be incomplete, inaccurate, outdated, unavailable, or inconsistent. You must maintain accurate source information and test/review the guest experience appropriate to your restaurant. AI availability and a particular model or response are not guaranteed.
Maitre does not guarantee allergy, cross-contact, medical, nutritional, dietary, legal, pricing, availability, accessibility, alcohol, or other safety-sensitive information. Critical questions must be confirmed directly with trained restaurant staff, and the widget should not be used for emergencies.
You may not use prompts, uploaded content, or connected data to carry out unlawful activity, compromise systems, evade safeguards, mislead guests, or cause harmful or discriminatory decisions.
Widget domains and acceptable use
Restricted-to-approved-domains is the default widget mode. You are responsible for approving the exact websites where your widget should run. You may deliberately select an allow-any-website mode after a warning; doing so means the public embed code can operate on copied websites while usage and abuse limits still apply.
You may not copy or use another restaurant's widget without authorization, impersonate another business, consume another tenant's allowance, scrape or automate abusive requests, bypass message or rate limits, forge sessions, submit malicious files, manipulate payment or plan data, create fraudulent accounts, reverse engineer where prohibited by applicable law, or interfere with service availability.
Domain and browser-origin checks help stop ordinary copied embeds but are not authentication against a custom non-browser client. Additional quotas and abuse controls apply and may occasionally block legitimate traffic or fail to stop determined abuse.
Subscription plans and message allowances
Plan prices, billing intervals, and included allowances are shown on the pricing page, order form, or hosted checkout and may change for future purchases. Specific message quantities are not fixed by these terms unless stated in an applicable order form.
One billable guest message is a public-widget guest request that produces a useful answer for the restaurant. Authenticated owner-preview messages are not billable guest messages. Requests rejected before AI execution normally do not count; a useful response counts even if the guest disconnects; and a provider failure before useful output may release the reservation.
Usage is determined by server records and the authoritative billing period, not a browser counter, clock, cookie, or checkout-return page. Allowances reset once for the applicable period. Unused messages do not roll over unless an order form explicitly says otherwise. Attempts to bypass usage accounting or obtain repeated resets are prohibited.
Subscription billing and cancellation
Stripe processes Maitre subscription checkout, payment methods, invoices, and the hosted Customer Portal. Paid subscriptions renew at the selected monthly or annual interval until canceled, unless the checkout or order form states otherwise. Applicable pricing, billing interval, and taxes are shown before checkout by Maitre and/or Stripe.
Cancellation timing, upgrades, downgrades, proration, and plan changes follow the options and effective dates shown in the hosted billing flow. Prior usage is retained when an allowance changes, and repeated plan changes do not create repeated free resets. Promotions apply only when Maitre or Stripe explicitly offers them.
A checkout success page is not proof of payment. Access depends on Stripe-confirmed state. During the controlled beta, a past-due, unpaid, incomplete, canceled, paused, refunded, disputed, expired, or unknown state may block paid access without a grace period until provider state confirms recovery. A period-end cancellation retains access only through the authoritative paid period where Stripe confirms that status.
Refunds, disputes and billing errors
[OWNER AND ATTORNEY REVIEW REQUIRED] A final subscription-refund policy has not been approved. This draft does not create an automatic right to a refund or a blanket no-refund rule. Report duplicate charges or billing errors promptly through the authenticated support channel so eligibility can be confirmed under the applicable order form, provider process, and law.
A refund, reversal, chargeback, or dispute may restrict or suspend paid access while the authoritative payment status is resolved. A refund does not erase valid prior usage or records that must be retained for billing, fraud, tax, legal, or dispute purposes.
Refunds and disputes for a guest's restaurant order are the restaurant's responsibility and are handled under the restaurant's policy and Square processes. Maitre is not the seller of the restaurant's food or services.
Square ordering
If you connect Square, you authorize Maitre to use approved Square permissions to synchronize restaurant, location, catalog, menu, modifier, availability, order, and checkout information for requested features. Square hosts payment collection for restaurant orders.
You are responsible for Square account standing, item and location configuration, fulfillment, taxes, refunds, chargebacks, and guest support. Maitre revalidates server-controlled item, modifier, quantity, availability, and pricing references, but Square remains authoritative for the final provider checkout.
Suspension and termination
Maitre may limit, suspend, or terminate access for nonpayment, fraud, illegal conduct, security threats, abusive automation, misuse of AI, infringement, another tenant's rights, payment manipulation, attempts to bypass plans or usage limits, or other material violations of these terms.
You may stop using the service, remove the widget, disconnect connected services where available, or request account deletion through support. Data handling after termination follows the Privacy Policy and may include retention for security, billing, tax, dispute, provider, backup, or legal obligations. No fixed deletion deadline is promised until an approved deletion process is published.
Intellectual property and content license
Maitre and its licensors retain rights in the software, interfaces, models, documentation, and branding. You retain ownership of restaurant content you submit, subject to rights held by third parties.
You grant Maitre a limited, non-exclusive license to host, copy, process, transform, index, transmit, and display restaurant content only as reasonably needed to provide, secure, support, and improve the service. You represent that you have the rights needed to grant that license. Any broader feedback license requires owner and attorney approval before being added.
Third-party services
Maitre depends on services such as Supabase, Cloudflare, OpenAI, Stripe, Square, Google, Resend, restaurant websites, and other enabled infrastructure or support providers. Their outages, errors, policy changes, account restrictions, or data practices may affect Maitre, and their own terms may apply.
You are responsible for complying with the terms of providers and websites you connect. Maitre does not control third-party systems and cannot guarantee their availability, accuracy, or continued compatibility.
Availability and service changes
Maitre may perform maintenance, change features or providers, impose reasonable limits, suspend risky traffic, or discontinue beta functionality. The service may be interrupted by maintenance, provider failure, security response, capacity, or circumstances outside Maitre's control.
Warranty disclaimer
[ATTORNEY REVIEW REQUIRED] To the extent allowed by applicable law, the controlled-beta service is provided on an as-is and as-available basis without warranties of uninterrupted operation, error-free results, fitness for a particular purpose, merchantability, non-infringement, or accuracy. Rights that cannot legally be waived remain unaffected.
Limitation of liability
[ATTORNEY REVIEW REQUIRED] To the extent permitted by law, Maitre would not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits/revenue/data, business interruption, guest claims, food-safety incidents, fulfillment issues, payment disputes, or third-party failures.
Draft cap for attorney review: aggregate liability arising from the service would be limited to fees paid to Maitre for the affected account during the 12 months before the event giving rise to the claim. This draft may not be enforceable in every jurisdiction and does not limit rights or liability that applicable law does not permit to be limited.
Indemnification
[ATTORNEY REVIEW REQUIRED] Draft provision: you would defend and indemnify Maitre against third-party claims caused by restaurant content, inaccurate menu/allergen information, restaurant fulfillment, legal violations, unauthorized connected accounts, misuse of the widget or AI service, infringement, or violation of these terms, except to the extent caused by Maitre or prohibited by law.
Governing law and disputes
[OWNER/ATTORNEY TO CONFIRM GOVERNING LAW AND VENUE] No governing state, exclusive venue, arbitration requirement, or class-action waiver is selected by this draft. Those terms must not be inferred and require owner and attorney approval before broad production publication.
Privacy, acceptance and updates
The Privacy Policy describes current data practices. Signup records the policy version accepted by the account holder. Material updates may require renewed acceptance or notice where required.
Continued use after a valid update may be treated as acceptance only to the extent allowed by law and the notice/consent process used for that update.
Contact and effective date
These terms are effective on the date shown above. Account holders may use the authenticated feedback/support form for service, billing, security, or legal requests.
A public legal email, legal business identity, mailing address, governing law, venue, final refund rule, liability language, and indemnity language still require owner and attorney approval before broad production launch.
